Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vyra ("Vyra", "we", "us"), a platform that connects brands running short-form video campaigns with creators who post that content and are paid based on quality and performance. By creating an account or using Vyra, you agree to these Terms. If you do not agree, do not use the service.

1. Who can use Vyra

You must be at least 18 years old and able to enter into a binding contract. You are responsible for the accuracy of the information you provide and for all activity under your account. Keep your login credentials secure.

2. Accounts and roles

Vyra supports two roles. Brands fund a balance and launch campaigns. Creators connect their social accounts, join campaigns, post videos, and earn payouts. You may use the service only in the role(s) you register for and in line with these Terms.

3. Connecting social accounts

Creators connect a TikTok account (and, in future, other platforms) through the platform's official login. You authorize Vyra to read the account information described in our Privacy Policy — including your profile and the public statistics of videos you submit — solely to verify eligibility, confirm ownership of submitted content, and measure campaign performance. You may disconnect your account at any time.

4. Campaigns, submissions, and verification

When a creator joins a campaign, a slot is reserved against the brand's funded budget. Creators agree to:

• post original content from their own connected, public account;
• publish only after joining the campaign;
• follow the campaign brief, including required disclosures (e.g. #ad) and any approved or prohibited claims;
• keep the post public for the stated tracking window.

Submissions are reviewed automatically for ownership, brief compliance, and disclosure. Submissions that fail review may be rejected with a reason, and — before the deadline — resubmitted. Vyra may reject or remove content that violates these Terms, a campaign brief, or applicable law.

5. Payments and platform margin

Brands purchase a prepaid balance and reserve funds when creators join. Creator payouts consist of a fixed fee on approval plus any performance bonus earned during the tracking window, paid through our payments provider. Brands see campaign prices; creators see creator payouts. Vyra may retain a portion of campaign spend as a service margin. Amounts shown to each party reflect their own economics. Prepaid balances are not bank deposits and do not earn interest.

6. Prohibited conduct

• Buying fake views, engagement, or followers, or otherwise manipulating metrics.
• Submitting content you do not own or did not create.
• Misleading, deceptive, or non-compliant claims; missing disclosures.
• Infringing others' intellectual property or privacy rights.
• Attempting to access, disrupt, or reverse-engineer the service.

7. Content rights

You retain ownership of the content you create. By submitting content to a campaign you grant the relevant brand and Vyra the license described in that campaign's brief to use the content for the agreed purposes. You are responsible for securing any rights to music, footage, or materials you include.

8. Disclaimers and liability

The service is provided "as is" without warranties of any kind. We do not guarantee specific reach, earnings, or campaign outcomes. To the maximum extent permitted by law, Vyra is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts you paid or earned through the service in the three months before the claim.

9. Termination

You may stop using Vyra at any time. We may suspend or terminate accounts that violate these Terms or that create risk for brands, creators, or the platform. Obligations that by their nature should survive termination (e.g. payment, content licenses already granted) will survive.

10. Changes to these Terms

We may update these Terms as the product evolves. We will update the date above and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept the updated Terms.
